1.About these Terms
These Terms of Use (“Terms”) form a legally binding agreement between you and TIGER AND PARTNERS (PTY) LTD (Registration No. 2021/560984/07), a South African company trading as “SYENU” (“SYENU”, “we”, “us” or “our”). They govern access to and use of the SYENU website, applications, exchange platform and related services that SYENU makes available to you (collectively, the “Platform” or “Services”).
By creating an account, completing verification, accessing the Platform or using any Service, you agree to these Terms, the Privacy Policy, Risk Disclosure, KYC & AML Policy, Fee Schedule, Supported & Restricted Jurisdictions Policy and any product- or country-specific terms that apply to you.
South Africa is the initial fiat launch market. International customers may apply from non-restricted jurisdictions where SYENU has enabled access and where use of the Services is lawful. Kenya/KES services are not represented as active until separately announced.
2.Eligibility and international availability
SYENU does not treat the absence of a country from the Restricted Jurisdictions list as a guarantee that every Service is lawful or available there. International access is subject to local law, KYC/AML approval, sanctions controls, product availability and SYENU eligibility rules.
- You must be at least 18 years old (or any higher age required by applicable law) and have legal capacity to enter into these Terms.
- You may open only one personal account unless SYENU expressly approves otherwise.
- You must use the account for your own benefit and provide complete, accurate and current information.
- You must not be a sanctioned or prohibited person and must not reside in, be located in, or access the Services from a jurisdiction that SYENU designates as restricted.
Residents of countries not listed as restricted may apply for an account where SYENU has enabled onboarding. Approval and continuing access remain subject to KYC/AML, local-law, sanctions, banking, Travel Rule, tax, security, product and operational requirements.
South Africa is the initial active fiat market and ZAR is the only fiat currency represented as supported at launch. Availability of crypto-only Services to an international customer does not imply local fiat support.
Kenya and KES services are planned but are not represented as active until SYENU publishes an official activation notice and any required local terms.
The current Restricted Jurisdictions list is maintained in the Supported & Restricted Jurisdictions Policy and forms part of these Terms. SYENU may update that list where legal, regulatory, sanctions, AML/CFT, banking or operational conditions change.
3.Account registration and verification
You must complete the registration and verification steps required for your account and jurisdiction. Verification may include email and/or mobile verification, government-issued identity documents, selfie or liveness checks, facial matching, residential information, tax residency and tax identification information, account purpose, source of funds and, where appropriate, source of wealth or supporting evidence.
SYENU may use third-party compliance technology providers, including Sumsub or replacement/supplementary providers, for identity verification, liveness, sanctions/PEP screening, AML/CFT screening, fraud detection, device intelligence, transaction monitoring, blockchain screening, VASP attribution and Travel Rule processes. Processing of personal information is governed by the Privacy Policy.
4.KYC, AML/CFT, sanctions and enhanced due diligence
SYENU applies risk-based customer due diligence and ongoing monitoring. We may request additional information or Enhanced Due Diligence (“EDD”) at onboarding or later. Being resident in a FATF increased-monitoring jurisdiction does not automatically mean rejection; it may result in enhanced verification, additional information, limits or ongoing monitoring.
We may delay, restrict, reject or return deposits, withdrawals or transactions, or suspend or close an account, where reasonably necessary to satisfy legal, sanctions, AML/CFT, fraud-prevention, tax-reporting, Travel Rule or security obligations. If required customer due diligence cannot be completed, SYENU may decline or end the relationship.
5.Account security
- Keep passwords, authentication factors, devices and recovery methods secure.
- Use any security controls required by SYENU, which may include email or mobile OTP, authenticator 2FA, passkeys or other methods.
- Notify hello@syenu.com immediately if you suspect unauthorised access, phishing, SIM swap, malware or account compromise.
- SYENU may impose temporary withdrawal holds or additional verification following security changes, account recovery, suspicious logins or other risk events.
6.Services covered by these Terms
Services may include custodial balances for supported crypto assets and fiat currencies, crypto deposits and withdrawals, ZAR deposits and withdrawals, spot order-book trading, and related account, security, compliance and support functions. Only Services actually displayed as active for your account are available to you.
Unless separately launched under additional terms, SYENU does not provide futures, derivatives, margin, lending, borrowing, staking, earn, cards, P2P, OTC, launchpad/IEO or other inactive products.
7.Supported assets, networks and fiat currencies
SYENU supports only assets, networks, fiat currencies and trading pairs expressly displayed as supported. Support may be added, restricted, suspended or removed. At launch, ZAR is the supported fiat currency described in these Terms. International customers may have access only to the crypto Services enabled for their jurisdiction.
You are responsible for selecting the correct asset, network, address, memo/tag and other routing information. Unsupported or incorrectly routed transfers may be permanently lost, and recovery is not guaranteed.
8.Fiat deposits and withdrawals
Unless expressly permitted otherwise, fiat deposits must come from, and fiat withdrawals must go to, an account in the same verified legal name as the SYENU account holder. Cash, cheques and third-party payments are not accepted unless expressly supported. Bank and payment-provider processing times are outside SYENU’s full control.
9.Crypto deposits, withdrawals and Travel Rule
Crypto deposits and withdrawals are subject to network confirmations, security controls, blockchain screening, sanctions and AML/CFT checks, account limits and Travel Rule requirements where applicable. SYENU may request originator, beneficiary, wallet-ownership or sending/receiving VASP information. Blockchain transfers are generally irreversible.
10.Spot trading and orders
Spot orders are matched according to Platform rules and available liquidity. Executed trades are normally final. Market orders may experience slippage, and limit orders may remain unfilled or partially filled. SYENU does not guarantee execution at a particular time or price or uninterrupted Platform availability.
SYENU may cancel orders, suspend markets or correct records where reasonably necessary to address a material system error, market-integrity event, fraud, security issue or legal requirement, subject to applicable law.
11.Fees and limits
Trading, withdrawal, network, recovery or other fees and transaction limits may apply. Current rates are published in the Fee Schedule or displayed before the transaction. Fee schedules and limits may differ by product, market, jurisdiction, account level or promotional programme.
12.Market integrity and prohibited conduct
- Market manipulation, wash trading, spoofing, layering, self-dealing intended to create a false market, or other deceptive trading activity is prohibited.
- Fraud, scams, money laundering, terrorist financing, sanctions evasion, unlawful gambling, illicit goods/services and use of stolen funds are prohibited.
- Users may not circumvent KYC, account limits, jurisdiction controls, Travel Rule requirements, security measures or technical restrictions.
- Unauthorised use of another person’s identity, bank account, wallet or SYENU account is prohibited.
13.Account restrictions, suspension and closure
SYENU may place an account under review, restrict deposits, trading or withdrawals, suspend or close an account where required by law or reasonably necessary for security, fraud prevention, compliance, risk management, breach of these Terms or protection of users and the Platform. Where legally permitted, users may withdraw supported assets after closure subject to verification and applicable restrictions.
14.Forks, airdrops, token migrations and delistings
SYENU is not obliged to support every fork, airdrop, token migration, redenomination or network event. Assets or markets may be suspended or delisted for legal, technical, security, liquidity, market-integrity, issuer/network or commercial reasons. Where practicable, SYENU will provide reasonable notice and withdrawal arrangements.
15.Risk acknowledgement
Crypto assets are volatile and speculative and may lose substantial or all value. You acknowledge liquidity, counterparty, custody, cybersecurity, stablecoin, network, regulatory, tax and other risks described in the Risk Disclosure. SYENU does not guarantee returns or asset values.
16.Tax and reporting
You are responsible for your own tax obligations. SYENU may collect tax residency, TIN/tax reference information and transaction data and may report information to SARS or other competent authorities where required, including under CARF, CRS or comparable regimes applicable to SYENU or the customer.
17.Privacy and data processing
SYENU processes personal information as described in the Privacy Policy. Information may be shared with compliance, KYC, Travel Rule, blockchain analytics, banking, payment, hosting, security, professional and regulatory counterparties where lawful and necessary. Cross-border processing may occur subject to applicable safeguards.
18.Third-party providers
SYENU relies on third parties such as banks, payment providers, custody/infrastructure providers, identity/compliance providers, blockchain networks, Travel Rule networks, cloud providers and data vendors. Third-party outages or restrictions may affect Service availability.
19.Limitation of liability
To the maximum extent permitted by applicable law, SYENU is not liable for indirect, consequential, special or speculative losses arising from market movements, user error, unsupported transfers, third-party outages, blockchain events, security incidents outside SYENU’s reasonable control or events of force majeure. Nothing in these Terms excludes liability or customer rights that cannot lawfully be excluded.
20.Governing law and mandatory local rights
These Terms are governed by the laws of the Republic of South Africa, subject to any mandatory rights or laws of a customer’s jurisdiction that cannot lawfully be excluded. Disputes are subject to the jurisdiction of South African courts unless mandatory applicable law requires otherwise or SYENU publishes jurisdiction-specific terms.
21.Changes to these Terms
SYENU may amend these Terms to reflect legal, regulatory, security, operational or service changes. Material changes will be communicated through official channels where reasonably practicable. Continued use after an effective update constitutes acceptance to the extent permitted by law.
